Whereas articles of incorporation describe your organization and your relationship to the state, by-laws tell people within your organization how you conduct your internal business and how you relate to each other. The by-laws describe who makes up your membership and the responsibilities of everyone involved in the group, from the board and committees to staff and volunteers. By-laws also outline the organization's commitment to fairness and nondiscrimination.
